Calculations of Value

This cost effective solution provides business owners and business buyers with a high level, but accurate view of the market value of a business.  MidCap Calculations of Value use traditional, widely accepted valuation theory to determine the value of a company.  MidCap's Calculations of Value are often used in shareholder disputes, divorce negotiations, buy-sell agreements, and negotiations to either buy or sell a business.

 

Detailed Business Valuations

A Detailed Business Valuation is a fully documented valuation report that is IRS 59-60 compliant and meets the standards set forth in the Uniform Standards of Professional Appraisal Practice as promulgated by the Appraisal Standards Board of the United States Appraisal Foundation.  This type of valuation is appropriate when it will be used in litigation or when the users of the valuation are not familiar with the company or the industry in which it operates.

 

Fairness Opinions

A Fairness Opinion is a valuation stating whether the consideration offered in a transaction, either by insiders or third parties, is fair to the shareholders of the company from a financial perspective. Obtaining a fairness opinion helps managers and boards of directors fulfill their fiduciary responsibilities by acting on an informed basis.  MidCap also prepares fairness opinions to support buy-sell agreements and in transactions involving minority shareholders, mergers, reorganizations, hostile takeovers and related-party transactions.
